1. Acceptance of Terms

By accessing or using the Bissnex platform ("Platform"), including our website, mobile applications, and all associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes, but it is your responsibility to review these Terms periodically.

2. Eligibility

You must meet the following requirements to use the Platform:

• You must be at least 18 years of age or the legal age of majority in your jurisdiction.
• You must not be a resident or citizen of any jurisdiction where the use of digital asset trading platforms is prohibited by applicable law.
• You must not be subject to any sanctions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or any other relevant sanctions authority.
• You must have the legal capacity to enter into a binding agreement.
• You must not have been previously suspended or removed from the Platform for violations of these Terms.

3. Account Registration

To access certain features of the Platform, you must register an account. During registration, you agree to:

• Provide accurate, current, and complete information as required by the registration process.
• Maintain and promptly update your account information to ensure its accuracy.
• Complete all required identity verification procedures, including Know Your Customer (KYC) and Anti-Money Laundering (AML) checks.
• Maintain the security and confidentiality of your account credentials, including your password and two-factor authentication methods.
• Accept full responsibility for all activities that occur under your account.

You must immediately notify Bissnex of any unauthorized use of your account or any other breach of security. Bissnex shall not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Trading Rules

All trades executed on the Platform are final and irreversible once confirmed on the blockchain network. The following rules govern trading activity:

• You are solely responsible for evaluating the appropriateness of any trade before execution.
• Bissnex acts as an intermediary platform and does not provide investment advice or recommendations.
• Market orders, limit orders, and other order types are subject to availability and may be modified or discontinued at any time.
• You must not engage in market manipulation, including but not limited to wash trading, spoofing, or layering.
• Bissnex reserves the right to cancel, suspend, or reverse any trades that are the result of system errors, glitches, or malicious activity.

Trading in digital assets involves significant risk and may not be suitable for all users. Past performance is not indicative of future results.

5. Fees

Bissnex charges fees for certain transactions and services on the Platform. Our fee schedule is publicly available and may be updated from time to time. Key provisions include:

• Trading fees are applied to each completed order and vary based on your VIP tier and trading volume.
• Withdrawal fees are determined by the blockchain network conditions and may fluctuate accordingly.
• Deposit fees may apply depending on the payment method and currency used.
• Fees are deducted automatically from the relevant transaction amount at the time of execution.
• Bissnex reserves the right to introduce new fees or modify existing fees with reasonable prior notice.

It is your responsibility to review the applicable fee schedule before initiating any transaction. By completing a transaction, you acknowledge and agree to the fees associated with that transaction.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Bissnex, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Bissnex shall not be liable for any loss of profits, data, or digital assets resulting from system downtime, network failures, or other technical issues.
• Bissnex's total aggregate liability shall not exceed the fees paid by you to Bissnex in the twelve (12) months preceding the event giving rise to the claim.
• Bissnex shall not be liable for any losses arising from third-party services, including but not limited to payment processors, blockchain networks, and oracle providers.

This limitation of liability applies regardless of the legal theory under which such liability is asserted, whether in contract, tort, negligence, strict liability, or otherwise.

8. Termination

Bissnex reserves the right to suspend or terminate your account at any time, with or without cause, including but not limited to:

• Violation of these Terms or any applicable laws or regulations.
• Suspicious, fraudulent, or illegal activity associated with your account.
• Failure to complete required identity verification procedures.
• Extended periods of account inactivity.

You may terminate your account at any time by contacting our support team. Upon termination, you remain responsible for any outstanding obligations, fees, or liabilities associated with your account. Bissnex will provide a reasonable period for you to withdraw remaining assets, subject to applicable laws and security procedures.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bissnex is registered, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through the following process:

• You must first attempt to resolve the dispute informally by contacting Bissnex support.
• If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration in accordance with the rules of the applicable arbitration institution.
• You agree to waive your right to a jury trial and to participate in any class action lawsuit against Bissnex.

Any claims or disputes must be filed within one (1) year from the date the event giving rise to the claim occurred, or they shall be permanently barred.
